Welcome to NexTemp! The terms “we”, “us” and “our” refer to NexTemp, a consumer brand owned by Medical Indicators, Inc. NexTemp operates this website and store, including all related information, content, features, tools, products and services (the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.
By visiting, interacting with or using the Services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use or access the Services.
1) Access & Eligibility
You must be at least 18 years old and located in the United States or its territories to use the Services. By using the Services, you represent and warrant that you meet these requirements.
2) Accounts & Information
You may be asked to provide information (e.g., email, billing, payment, shipping). You represent that such information is correct, current and complete and that you have all rights to provide it. You are responsible for maintaining the security of your account credentials and all activity under your account.
3) Our Products
We strive to display products accurately, but colors and appearance may vary by device. Product descriptions, features and availability may change without notice. We may discontinue any product and limit quantities for any person or region.
4) Orders
When you place an order, you make an offer to purchase. We may accept, decline or cancel any order at our discretion (including for suspected fraud, errors, or policy violations). We must receive and process payment before acceptance. If we change or cancel an order, we’ll attempt to notify you using the contact details provided at checkout.
Purchases are subject to our Refund Policy. You represent your purchases are for personal or household use, not resale or export.
5) Prices & Billing
Prices, discounts and promotions may change without notice. The price charged will be the price in effect at the time of order and shown in your confirmation. Unless stated, prices exclude taxes, shipping, handling and import duties.
You agree to provide current, complete and accurate purchase, payment and account information and to promptly update it as needed. You represent that you are authorized to use your payment method and that charges will be honored.
6) Shipping & Delivery
Delivery times are estimates only. We are not liable for delays caused by carriers, customs, or events outside our control. Title and risk of loss pass to you when we deliver products to the carrier.
7) Relationship with Shopify
NexTemp is powered by Shopify. However, sales are made directly between you and NexTemp. By using the Services, you acknowledge and agree that Shopify is not responsible for your purchases from NexTemp and you expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your transactions with NexTemp.
8) Privacy
Personal information collected through the Services is governed by our Privacy Policy. Because the Services are hosted by Shopify, certain personal information is processed by Shopify and its partners to provide and improve the Services.
9) Intellectual Property
The Services and all content (including trademarks, text, designs, images, graphics, video, audio and their selection/arrangement) are owned by NexTemp/Medical Indicators, Inc. or licensors and protected by intellectual property laws. You may use the Services for personal, non-commercial purposes only. Except as allowed by law or with prior written consent, you may not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any materials from the Services. All rights not expressly granted are reserved.
NexTemp®, Tempa•Dot®, TraxIt®, and related names, logos and product names are trademarks of Medical Indicators, Inc. or its affiliates/licensors. Shopify’s marks are trademarks of Shopify. Other names and logos belong to their respective owners.
10) Optional Tools & Third-Party Links
You may access third-party tools or sites through the Services. We provide these “as is” and “as available,” without warranties or endorsements and without liability. Your use of third-party tools/sites is at your own risk and subject to their terms and policies.
11) Feedback (Reviews, Suggestions)
If you submit reviews, ideas or other content (“Feedback”), you grant NexTemp a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any lawful purpose. You represent that you own or control the rights to your Feedback and that it complies with these Terms and applicable law.
12) Errors, Inaccuracies & Omissions
Information on the Services may contain typographical errors or inaccuracies (including product descriptions, pricing, promotions, shipping charges, transit times and availability). We may correct any errors, update information or cancel orders if any information is inaccurate at any time without prior notice (including after you submit an order).
13) Prohibited Uses
You may use the Services only for lawful purposes. You agree not to: violate laws; infringe intellectual property or privacy rights; harass or harm others; transmit spam or malware; scrape or mine data; interfere with security or operation; or attempt unauthorized access. We may suspend or terminate access for violations.
14) Termination
We may terminate or suspend the Services (or your access) at any time, with or without notice. You remain responsible for amounts due through the termination date. Sections that by nature should survive (e.g., IP, Feedback, Disclaimers, Limits, Indemnity, Governing Law, Assignment) will survive.
15) Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED BY NEXTEMP, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE OPERATION.
16) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEXTEMP, MEDICAL INDICATORS, INC., THEIR AFFILIATES, SERVICE PROVIDERS AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, REVENUE, SAVINGS, DATA OR GOODWILL) ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. WHERE REQUIRED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) OR, IF NO PURCHASE, USD $100.
17) Indemnification
You agree to indemnify, defend and hold harmless NexTemp, Medical Indicators, Inc., Shopify and their affiliates, officers, directors, employees, agents, contractors, licensors and service providers from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, violation of law or third-party rights, or your use of the Services.
18) Governing Law & Venue
These Terms are governed by the laws of the State of New Jersey, without regard to conflicts principles. Exclusive jurisdiction and venue lie in the state or federal courts located in New Jersey, and you consent to those courts’ personal jurisdiction and venue.
19) Assignment
You may not assign, transfer or delegate these Terms or any rights or obligations hereunder without our prior written consent, and any attempted assignment is void. We may assign or transfer these Terms without restriction or notice.
20) Headings
Headings are for convenience only and do not affect interpretation.
21) Changes to These Terms
You can review the most current version of these Terms at any time on this page. We may update these Terms by posting changes to the Website. If we make material changes, we will notify you as required by law. Changes are effective on the date posted unless otherwise stated. Your continued use of the Services after changes are posted constitutes acceptance.
